Terms of Service & End User License Agreement

1. Acceptance of Terms
These Terms of Service and End User License Agreement (“Agreement”) govern access to and use of Balance Management (“BalanceMgmt”), an internal business management application operated by Balance Integrated Health (“Balance”).
By accessing or using BalanceMgmt, you acknowledge that you have read and agree to this Agreement. Access to BalanceMgmt is limited to authorized users designated by Balance.
2. Authorized Use
BalanceMgmt is provided for legitimate business and operational purposes of Balance Integrated Health.
Users may access BalanceMgmt only as authorized by Balance and only within the scope of their assigned role and permissions. Users may not share account credentials, allow unauthorized individuals to access the application, or use the application for purposes unrelated to authorized Balance business activities.
3. Account Security
Users are responsible for maintaining the confidentiality of their account credentials and for promptly reporting suspected unauthorized access or security concerns to Balance.
Balance may suspend or terminate access when necessary to protect the application, its data, or the organization.
4. QuickBooks Online Integration
BalanceMgmt may integrate with QuickBooks Online through Intuit's authorized APIs.
An authorized Balance administrator may connect a QuickBooks Online company to BalanceMgmt and grant the application access to QuickBooks data necessary to provide financial reporting, accounting, and management functions.
BalanceMgmt does not replace QuickBooks Online and is not affiliated with or operated by Intuit Inc. QuickBooks Online remains a separate third-party service subject to Intuit's applicable terms and policies.
Users may disconnect the QuickBooks integration through the applicable account or application controls.
5. Confidential and Business Information
BalanceMgmt may contain confidential business, financial, operational, personnel, and other information belonging to Balance Integrated Health.
Users may access such information only as necessary for their authorized responsibilities and must not disclose, copy, distribute, or otherwise misuse confidential information.
6. Prohibited Activities
Users may not:
Attempt to gain unauthorized access to BalanceMgmt or its underlying systems.
Circumvent authentication, authorization, or security controls.
Access information outside their assigned permissions.
Share credentials or knowingly permit unauthorized access.
Introduce malicious software or otherwise interfere with the operation of the application.
Use the application for unlawful purposes.
Copy, modify, reverse engineer, or attempt to extract proprietary application code except where expressly authorized by Balance or required by applicable law.
7. Third-Party Services
BalanceMgmt may provide links, integrations, or connections to third-party services, including QuickBooks Online, Google services, SigmaMD, Gusto, and other systems used by Balance.
Third-party services are governed by their respective terms, policies, and availability. Balance is not responsible for the operation, availability, or policies of third-party services.
8. Availability and Maintenance
Balance will make reasonable efforts to maintain availability of BalanceMgmt but does not guarantee uninterrupted or error-free operation.
The application may be temporarily unavailable because of maintenance, updates, security measures, infrastructure issues, or circumstances outside Balance's reasonable control.
9. Suspension and Termination
Balance may suspend, restrict, or terminate a user's access to BalanceMgmt at any time when reasonably necessary, including when employment or authorization ends, when a user violates this Agreement, or when access presents a security or operational risk.
10. Intellectual Property
BalanceMgmt, including its software, design, interfaces, documentation, and related materials, is owned by or licensed to Balance Integrated Health and is protected by applicable intellectual property laws.
Except for the limited right to use the application as authorized under this Agreement, no ownership rights are granted to users.
11. Disclaimer
BalanceMgmt is provided for internal business and management purposes. To the extent permitted by law, Balance makes no guarantee that the application will always be available, uninterrupted, or completely free from errors.
Financial information displayed through BalanceMgmt may originate from third-party systems and should be verified against the applicable source system when necessary.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Balance Integrated Health will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to use of BalanceMgmt, except where such limitation is prohibited by law.
13. Changes to This Agreement
Balance may update this Agreement from time to time. Updated terms will be posted on this page with a revised effective date.
Continued authorized use of BalanceMgmt following an update constitutes acceptance of the revised Agreement.
14. Privacy
Information collected or processed through BalanceMgmt is handled in accordance with the Balance Integrated Health Privacy Policy.

16. Agreement
By accessing BalanceMgmt, authorized users acknowledge that they have read and agree to these Terms of Service and End User License Agreement.
